Terms of Service - ToSells Digital Marketplace

1. Acceptance of Terms

By accessing or using the ToSells website at tosells.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Site. These Terms constitute a legally binding agreement between you ("User," "Buyer," or "Customer") and ToSells ("we," "us," or "Platform").

2. Nature of the Platform

ToSells is an online marketplace that facilitates the sale and purchase of digital products, including but not limited to software license keys (Windows, antivirus, productivity software), digital assets, and downloadable content. ToSells acts as an intermediary between sellers and buyers. We are not the manufacturer, publisher, or licensor of any software products sold on the Site.

3. User Accounts

You must be at least 18 years old to create an account and make purchases.
You are responsible for maintaining the confidentiality of your login credentials.
You are liable for all activities that occur under your account.
You must provide accurate, current, and complete information during registration.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. Digital Product Purchases

All products on ToSells are digital goods. No physical items are shipped.
Upon successful payment, license keys and/or download links are delivered via email and your account dashboard.
License keys are for single use unless explicitly stated otherwise in the product description.
Each license key is intended for activation on one device unless the product specifically supports multiple activations.

5. Software Compatibility Disclaimer

It is the buyer's sole responsibility to verify that their system meets the minimum requirements for any software product before purchase. ToSells does not guarantee compatibility with all hardware, operating systems, or configurations. Please review the product description, system requirements, and supported platforms listed on each product page before completing your purchase.

ToSells is not responsible for:

Software that does not function due to incompatible hardware or operating system versions.
Issues arising from third-party software conflicts.
Product features or limitations set by the software publisher.

6. Intellectual Property Rights

All software products sold on ToSells are the intellectual property of their respective publishers and licensors.
Purchasing a license key grants you a limited, non-exclusive, non-transferable license to use the software in accordance with the publisher's End User License Agreement (EULA).
You may not resell, redistribute, reverse-engineer, or modify any software purchased on this Site.
The ToSells brand, logo, website design, and proprietary content are the intellectual property of ToSells and may not be used without written permission.

7. Seller Terms

Sellers on ToSells must:

Provide accurate and truthful product descriptions.
Sell only genuine, legally acquired license keys and digital products.
Deliver products promptly upon order confirmation.
Comply with all applicable laws, including intellectual property and consumer protection regulations.
Respond to customer inquiries and support requests within 24 hours.

ToSells reserves the right to suspend sellers who violate these terms, withhold payouts during dispute resolution, and permanently remove sellers engaged in fraudulent activity.

8. Pricing and Payments

All prices are displayed in the applicable currency (INR, USD, etc.) and are inclusive of the listed price. Applicable taxes (GST) are calculated and displayed separately at checkout.
We reserve the right to modify prices at any time without prior notice.
Payment must be completed in full before any digital product is delivered.

9. Limitation of Liability

To the maximum extent permitted by law, ToSells shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any products purchased through the Site. Our total liability for any claim shall not exceed the amount paid by you for the specific product in question.

10. Dispute Resolution

If you have a dispute regarding a purchase, you may open a dispute through your account dashboard. Our team will review the dispute and aim to resolve it within 48 hours. If a resolution cannot be reached, the matter may be escalated to binding arbitration.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
